Der Erfolg der durch das MoMiG von 2008 grundsätzlich reformierten GmbH als Rechtsform ist ungebrochen. Er ist nicht zuletzt auf die große Flexibilität des GmbH-Rechts zurückzuführen. Ziel des Kommentars ist neben der sorgfältigen Dokumentation des Meinungsstands und der Vielzahl einschlägiger Gerichtsentscheidungen vor allem auch die Darstellung tragender Grundgedanken der gesetzlichen Regelungen und der richterrechtlichen Entwicklungen.
Die vorliegende 3. Auflage ist komplett überarbeitet und an die geänderte Rechtslage angepasst. Die seit Erscheinen der 2. Auflage in Kraft getretenen Reformgesetze, aber auch die seitdem ergangene Rechtsprechung und das erschienene Schrifttum sind einbezogen.
