Der vorliegende Band entfaltet das Panorama der Personengesellschaften in Deutschland, Österreich und der Schweiz. Er erläutert Motive, Hintergründe und Grundzüge der hiesigen Großreform durch das MoPeG sowie die abweichende Wandtafelsystematik des österreichischen und schweizerischen Rechts. Im Einzelnen aufgearbeitet werden Grundsatzfragen wie der gesellschaftsrechtliche Rechtsformenzwang, der Rechtsschutz gegen fehlerhafte Gesellschafterbeschlüsse sowie die Auslegung von Personengesellschaftsverträgen. Hinzu kommen Sonderfragen betreffend die Auflösung von Personengesellschaften, ihre Umwandlung in Kapitalgesellschaften sowie die sachgerechte Behandlung von Publikumspersonengesellschaften und Aktionärsbindungsverträgen. This volume deals with the panorama of partnerships in Germany, Austria and Switzerland. It explains the motives, background and main features of the major reform in Germany through the MoPeG (Act on the Modernization of Partnership Law) as well as the deviating taxonomies of Austrian and Swiss law. Fundamental issues such as the numerus clausus of company and partnership forms, legal protection agains unlawful member resolutions and the interpretation of partnership agreements are dealt with in detail. There are also special issues relating to the dissolution of partnerships, their conversion into corporations and the appropriate treatment of public partnerships and shareholders' agreements.
